This License Agreement (the "Agreement") is between Sentritect ("we," "us") and the business or person that receives IT services from us and installs the Sentritect Agent (the "Customer," "you"). The Sentritect Agent (the "Agent") is software that monitors the health of computers and networks and keeps them updated as part of our services. By selecting "I agree" during setup, or by installing the Agent through a silent or managed install (for example Microsoft Intune or Group Policy), you accept this Agreement. If you install the Agent for an organization, you confirm that you are authorized to accept this Agreement on its behalf.
1. License
We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Agent on computers that you own or control, only while you receive services from Sentritect. You may not copy, sell, rent, share, modify, reverse engineer, or redistribute the Agent, or use it to provide services to anyone else.
2. What the Agent Does
- Health reports: about once an hour it reads basic information about the computer: name, make, model and serial number, Windows version, disk space, memory and processor use, Windows updates, antivirus, firewall and BitLocker status, whether a restart is needed, uptime, the signed-in user name, and network addresses. Every few minutes it sends processor and memory use.
- Updates: it applies the Windows Update schedule chosen for your office and can install application updates using Windows Package Manager (winget). When asked from our dashboard, it can start updates, check in, or remove itself.
- Network monitoring (optional): if a computer is chosen as your office's network monitor, it checks whether devices on your office network respond (ping), looks up device names, checks which common network services answer, and reads the title of a device's own web page to identify it. It does not sign in to any device.
- What it never does: the Agent does not read the contents of your files, email, documents, browsing history or passwords, record keystrokes or screens, or run commands or programs sent from the internet.
3. Automatic Updates
The Agent updates itself automatically. It installs only updates that carry Sentritect's digital signature and refuses anything else. You agree to receive these updates as part of the service.
4. Your Data
The Agent sends information over an encrypted (HTTPS) connection to our systems, which are hosted by our service providers. We use it only to provide, support, and improve our services to you, and we do not sell it. See our Privacy Statement for details. When the Agent is removed it stops sending information; we may keep past reports as part of your service records.
5. Your Responsibilities
- Install the Agent only on computers you own or are authorized to manage.
- Tell the people who use those computers that they are monitored, where your policies or the law require it.
- Keep install codes and installers private, and tell us if one is lost or shared so we can turn it off.
- Do not tamper with, disable, or try to get around the Agent or its security.
6. Removing the Agent
You can remove the Agent at any time from Windows Settings > Apps > Sentritect Agent, or ask us to remove it remotely. This license ends when our services to you end, and you agree to remove the Agent (or let us remove it) at that time.
7. Ownership
The Agent is licensed, not sold. Sentritect and its licensors own the Agent and all rights in it. Windows Update and application updates come from their publishers and are covered by those publishers' terms.
8. No Warranty
THE AGENT IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Monitoring may not detect every problem, and the Agent is not a substitute for backups, security software, or other safeguards.
9. Limitation of Liability
TO THE EXTENT ALLOWED BY LAW, SENTRITECT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA OR BUSINESS INTERRUPTION, ARISING FROM THE AGENT OR THIS AGREEMENT. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE AGENT WILL NOT EXCEED THE AMOUNT YOU PAID US FOR MONITORING SERVICES IN THE THREE (3) MONTHS BEFORE THE CLAIM AROSE.
10. Your Service Agreement
If you have a signed service agreement with Sentritect and it conflicts with this Agreement, the service agreement controls.
11. Governing Law
If your principal office is in Texas, this Agreement is governed by the laws of the State of Texas, and any dispute will be brought in the state or federal courts located in Texas. Otherwise, this Agreement is governed by the laws of the Commonwealth of Virginia, and any dispute will be brought in the state or federal courts located in Virginia. Conflict-of-law rules do not apply.
12. Changes to This Agreement
We may update this Agreement. The version and effective date above show the latest one. If we make material changes, we will let you know, and continued use of the Agent after that means you accept the updated Agreement.
